Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and alfilacltv B.V. ("Company," "we," "our," or "us") regarding your use of our asset management services and website located at alfilacltv.live.

By accessing our website, engaging our services, or entering into any agreement with alfilacltv, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services or website.

Client Obligations and Responsibilities

As a client or user of alfilacltv services, you agree to:

• Provide accurate, complete, and current information about your financial situation
• Promptly notify us of any material changes to your financial circumstances
• Comply with all applicable laws and regulations
• Pay all fees and charges as agreed in your service agreement
• Maintain the confidentiality of any account information and login credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or systems
• Respect the intellectual property rights of alfilacltv and third parties

You acknowledge that investment decisions carry inherent risks and that past performance does not guarantee future results.

Intellectual Property Rights

All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, images, software, and research reports, are owned by or licensed to alfilacltv and are protected by Dutch and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services and website content solely for your personal use in connection with our services. You may not:

• Copy, reproduce, distribute, or create derivative works from our content
• Use our content for commercial purposes without written permission
• Remove or alter any copyright, trademark, or other proprietary notices

• Market conditions can change rapidly and unpredictably
• Economic and political events may affect investment performance
• Currency exchange rates may impact international investments

alfilacltv provides investment advice based on professional analysis, but cannot guarantee specific investment outcomes. You are responsible for making informed investment decisions based on your individual circumstances.

Fees and Payment Terms

Fees for our services will be specified in your individual client agreement. General fee terms include:

• Management fees are typically calculated as a percentage of assets under management
• Performance fees may apply based on investment returns above agreed benchmarks
• Additional fees may apply for specific services or transactions
• Fees are generally charged quarterly in advance or arrears as specified
• Third-party costs (custodian fees, transaction costs) may be passed through to clients

All fees are subject to applicable Dutch VAT. Detailed fee schedules will be provided in your service agreement.

Limitation of Liability

To the maximum extent permitted by Dutch law, alfilacltv's liability to you for any damages arising from or related to our services is limited as follows:

• Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim
• We shall not be liable for any indirect, consequential, or punitive damages
• We shall not be liable for investment losses resulting from market conditions
• We shall not be liable for damages caused by third-party service providers
• We shall not be liable for losses due to circumstances beyond our reasonable control

This limitation of liability does not apply to:

• Damages caused by our willful misconduct or gross negligence
• Liability that cannot be excluded under applicable law
• Personal injury or death caused by our negligence

Confidentiality and Data Protection

alfilacltv is committed to maintaining the confidentiality of your personal and financial information. We will:

• Keep all client information strictly confidential
• Use information only for providing our services and meeting legal obligations
• Implement appropriate security measures to protect your data
• Comply with applicable data protection laws, including GDPR
• Only share information with authorized third parties as necessary for service provision

Termination of Services

Either party may terminate our service agreement under the following conditions:

• With written notice as specified in your individual client agreement
• Immediately for material breach of terms after reasonable notice and opportunity to cure
• Immediately if continuation would violate applicable laws or regulations
• Upon mutual agreement between the parties

Upon termination:

• All outstanding fees become immediately due and payable
• We will assist with the orderly transfer of your assets
• Confidentiality obligations will survive termination
• You remain liable for any transactions initiated before termination

Regulatory Compliance

alfilacltv operates under the supervision of Dutch financial regulators and complies with applicable European Union financial services regulations. Our services are subject to:

• Dutch Financial Supervision Act (Wet op het financieel toezicht)
• Markets in Financial Instruments Directive (MiFID II)
• Anti-Money Laundering regulations
• General Data Protection Regulation (GDPR)
• Other applicable Dutch and EU financial regulations

We maintain appropriate professional indemnity insurance and participate in applicable compensation schemes as required by law.

Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to:

• First attempt to resolve the dispute through good faith negotiations
• Consider mediation through a qualified mediator if negotiations fail
• Submit unresolved disputes to binding arbitration if required by your service agreement

You may also have the right to file complaints with relevant financial services ombudsman or regulatory authorities in accordance with applicable law.

Governing Law and Jurisdiction

These Terms and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

The courts of The Hague, Netherlands, shall have exclusive jurisdiction over any legal proceedings arising from these Terms or our services, except where mandatory consumer protection laws provide otherwise.

Changes to Terms

alfilacltv reserves the right to modify these Terms at any time. Material changes will be communicated to you through:

• Email notification to your registered email address
• Posted notice on our website
• Written notice as part of regular client communications

Continued use of our services after notification of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you may terminate our services in accordance with your service agreement.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely achieves the intended economic effect.
